1. About ICS
ICS is an offshore healthcare BPO company based in Coimbatore, India. We provide medical billing, medical coding, revenue cycle management (RCM), and related services exclusively to healthcare providers in the United States. Our services are business-to-business (B2B) in nature and are not directed to individual patients.
2. Website Use
Permitted Use
You may use our website for lawful purposes only — to learn about our services, contact us, or request a consultation. You agree not to:
- Use our website in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of our website or systems

3. Services
Scope of Services
ICS provides offshore medical billing, RCM, medical coding, insurance verification, prior authorization, denial management, AR follow-up, and related healthcare BPO services to US healthcare providers. The specific scope, deliverables, and pricing for any engagement are defined in a separate, signed Service Agreement between ICS and the client.
No Medical Advice
ICS provides billing and administrative services only. Nothing on this website or in our communications constitutes medical advice, clinical guidance, or a patient-provider relationship. We do not provide direct services to patients.
Service Availability
ICS will make reasonable efforts to provide services as described in client agreements. We reserve the right to modify, suspend, or discontinue any service with appropriate notice as defined in the applicable service agreement.
4. HIPAA and Business Associate Agreement
ICS operates as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). Before accessing or processing any Protected Health Information (PHI) on behalf of a healthcare provider client, ICS requires a signed Business Associate Agreement (BAA) in accordance with 45 CFR § 164.308. Clients are responsible for ensuring their own HIPAA compliance obligations are met.
5. Client Responsibilities
Clients engaging ICS services agree to:
- Provide accurate, complete, and timely information required for billing and coding
- Maintain their own HIPAA-compliant systems and processes
- Execute required legal agreements (including BAA) prior to service commencement
- Promptly notify ICS of any changes in payer contracts, fee schedules, or provider information
- Make timely payments as agreed in the service agreement
6. Payment Terms
Payment terms, rates, and billing schedules are specified in individual service agreements. ICS reserves the right to suspend services in the event of non-payment as defined in the applicable agreement. All fees are exclusive of applicable taxes unless stated otherwise.
7. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of the engagement. ICS will not disclose client data, PHI, or business information to any unauthorized third party. Confidentiality obligations survive the termination of any service agreement.
8. Disclaimer of Warranties
Our website and services are provided on an “as is” and “as available” basis. ICS makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
- Our website will be uninterrupted, error-free, or free of viruses
- Results from our billing services will meet specific revenue or collection targets (outcomes depend on payer policies, patient coverage, and clinical documentation quality outside ICS’s control)
- All information on our website is complete, accurate, or current at all times
9. Limitation of Liability
To the maximum extent permitted by applicable law, ICS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to lost revenue, lost data, or business interruption.
ICS’s total liability for any claim arising out of or related to our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
10. Indemnification
You agree to indemnify and hold ICS, its directors, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of your use of our website or services, your violation of these Terms, or your violation of any applicable law or regulation.
11. Third-Party Links
Our website may contain links to third-party websites for informational purposes. ICS does not endorse and is not responsible for the content, accuracy, or practices of any third-party websites. Accessing third-party links is at your own risk.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration in Coimbatore, Tamil Nadu, India, in accordance with applicable arbitration rules.
For US-based clients, specific dispute resolution terms may be defined in the individual service agreement.
13. Force Majeure
ICS shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet outages, or power failures.
14. Modifications to These Terms
ICS reserves the right to update or modify these Terms at any time. Changes will be posted on this page with a revised “Last Updated” date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
