These Terms of Services (“Terms”) govern your use of the website https://infohubconsultancy.com and the services provided by Info Hub Consultancy Services Private Limited (“ICS”, “we”, “us”, or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our website or services.


1. About ICS

Info Hub Consultancy Services Private Limited (“ICS”, “we”, “us”, or “our”) is an offshore healthcare business process outsourcing (BPO) company incorporated and headquartered in Coimbatore, Tamil Nadu, India.

ICS provides medical billing, medical coding, revenue cycle management (RCM), and related healthcare back-office services exclusively to healthcare providers, practices, clinics, hospitals, and medical groups in the United States. Our services are business-to-business (B2B) in nature and are not directed to individual patients.


2. Acceptance of Terms

By accessing the website https://infohubconsultancy.com, submitting an inquiry, entering into a service agreement, or using any ICS services, you (whether an individual representative, practice administrator, or entity) agree to be bound by these Terms of Services (“Terms”), our Privacy Policy, and any applicable service-specific agreements.

These Terms apply to all users of our website and all clients engaging ICS services. If you are accepting these Terms on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.


3. Website Use

Permitted Use

You may use our website for lawful purposes only — to learn about our services, contact us, or request a consultation. You agree not to:

  • Use our website in any way that violates applicable laws or regulations in India or the United States
  • Attempt to gain unauthorized access to any part of our website, systems, or infrastructure
  • Transmit any harmful, offensive, defamatory, or disruptive content
  • Use automated tools, bots, scrapers, or scripts to extract content from our website without prior written permission
  • Impersonate ICS, any ICS representative, or any other person or entity
  • Engage in any activity that interferes with or disrupts the proper functioning of our website

Intellectual Property

All content on this website — including but not limited to text, graphics, logos, images, videos, data, and code — is the exclusive property of ICS or its licensed content suppliers and is protected by applicable copyright, trademark, and intellectual property laws of India and international treaties.

You may not reproduce, distribute, modify, publicly display, or create derivative works from any website content without our prior written consent. Unauthorized use of our intellectual property may result in legal action.


4. Services

Scope of Services

ICS provides the following offshore healthcare BPO services to US-based healthcare providers:

  • Medical Billing and Claims Submission
  • Medical Coding (ICD-10, CPT, HCC Risk Adjustment)
  • Revenue Cycle Management (RCM)
  • Insurance Eligibility Verification
  • Prior Authorization Services
  • Denial and AR Follow-Up Management
  • Payment Posting and Reconciliation
  • Charge Entry and Review
  • Provider Credentialing and Enrollment
  • Patient Statement Services
  • Healthcare BPO and Back-Office Support

The specific scope of services, deliverables, performance expectations, and pricing for any client engagement are defined exclusively in a separate, mutually signed Service Agreement between ICS and the client. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement shall prevail.

FTE Model Services

ICS offers a Full-Time Equivalent (FTE) dedicated staff model, under which a named offshore billing specialist is assigned exclusively to the client’s practice. The FTE specialist works the client’s designated hours, uses the client’s EHR or practice management system, and follows the client’s billing workflow. FTE engagements are governed by separate FTE Service Agreements specifying staff qualifications, replacement terms, performance metrics, and monthly fees.

No Medical Advice

ICS provides billing, coding, and administrative services only. Nothing on this website or in any ICS communication constitutes medical advice, clinical guidance, diagnosis, treatment recommendations, or a patient-provider relationship. ICS does not provide any services directly to patients.

Service Availability

ICS will make commercially reasonable efforts to provide services as described in client service agreements. We reserve the right to modify, suspend, or discontinue any service offering upon appropriate notice as defined in the applicable service agreement. Planned maintenance or system downtime will be communicated to affected clients in advance where reasonably practicable.


5. HIPAA Compliance and Business Associate Agreement

ICS operates as a Business Associate under the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations, including the HIPAA Privacy Rule (45 CFR Part 164) and the HIPAA Security Rule.

Before accessing, receiving, processing, or transmitting any Protected Health Information (PHI) on behalf of a covered healthcare provider client, ICS requires a signed Business Associate Agreement (BAA) in strict accordance with 45 CFR § 164.308 and § 164.504(e).

Clients are independently responsible for ensuring their own HIPAA compliance obligations are met, including maintaining appropriate administrative, physical, and technical safeguards within their own systems and operations. ICS shall not be liable for any HIPAA violations arising from a client’s own non-compliant practices or systems.


6. Client Responsibilities

Clients engaging ICS services agree to fulfill the following responsibilities:

  • Provide accurate, complete, and timely clinical and billing information required for ICS to perform services effectively
  • Maintain their own HIPAA-compliant internal systems, policies, and processes
  • Execute all required legal agreements, including the Business Associate Agreement (BAA), prior to the commencement of services
  • Promptly notify ICS of any changes in payer contracts, fee schedules, provider enrollment status, or other information material to billing operations
  • Designate an authorized point of contact responsible for approving billing decisions and responding to ICS queries in a timely manner
  • Make timely payments in accordance with the fee schedule and payment terms in the applicable service agreement
  • Cooperate with ICS’s reasonable requests for documentation, access credentials, and operational information necessary to deliver contracted services

7. Payment Terms

Payment terms, fee structures (hourly, monthly FTE, or transaction-based), invoicing schedules, and late payment consequences are specified in individual client service agreements. Unless otherwise stated in the service agreement:

  • All invoices are due within 30 days of the invoice date
  • ICS reserves the right to suspend services in the event of non-payment after the due date, following written notice to the client
  • All fees are quoted in US Dollars (USD) and are exclusive of applicable taxes, unless stated otherwise
  • Bank transfer charges, wire fees, or currency conversion costs are the responsibility of the client

ICS does not offer refunds for services already rendered unless otherwise agreed in writing in a specific service agreement.


8. Confidentiality

Both ICS and its clients agree to maintain the strict confidentiality of all proprietary, sensitive, and non-public information exchanged during the course of the engagement, including but not limited to:

  • Protected Health Information (PHI) and patient data
  • Business financials, fee schedules, and pricing information
  • Practice workflow details, payer contract terms, and operational data
  • ICS’s proprietary tools, processes, staffing models, and software systems

ICS will not disclose client data, PHI, or any business-sensitive information to any unauthorized third party, except as required by applicable law or permitted under a signed BAA. Confidentiality obligations of both parties survive the termination or expiration of any service agreement for a period of five (5) years, unless a longer period is required by applicable law or regulation.


9. Data Security

ICS maintains reasonable administrative, technical, and physical security measures to protect client data and PHI against unauthorized access, disclosure, alteration, or destruction. Our security practices include:

  • Encrypted data transmission and storage
  • Role-based access control for all staff handling PHI
  • Annual HIPAA training for all personnel with PHI access
  • Secure VPN and remote desktop protocols for EHR system access
  • Audit logging and monitoring of all PHI access

In the event of a security breach involving PHI, ICS will notify affected clients in accordance with the timelines and procedures specified in the applicable BAA and the HIPAA Breach Notification Rule (45 CFR §§ 164.400–414).


10. Disclaimer of Warranties

Our website and services are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, ICS expressly disclaims all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Any warranty that our website will be uninterrupted, error-free, secure, or free of viruses or other harmful components
  • Any warranty that results from our billing or coding services will meet specific revenue, collection rate, or reimbursement targets — outcomes are dependent on payer policies, patient coverage status, clinical documentation quality, and other factors outside ICS’s reasonable control
  • Any warranty that all content on our website is complete, accurate, current, or free from typographical errors at all times

Note on Revenue Outcomes: ICS does not guarantee any specific collection rates, denial rates, or revenue improvements. Billing outcomes depend on factors including payer policies, patient eligibility, clinical documentation accuracy, and payer-specific rules — many of which are outside ICS’s direct control.


11. Limitation of Liability

To the maximum extent permitted by applicable law, ICS and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from:

  • Your use of, or inability to use, our website or services
  • Any unauthorized access to or alteration of your data or transmissions
  • Any loss of revenue, loss of data, or business interruption
  • Any third-party conduct or content

ICS’s total aggregate liability for any claims arising out of or related to the performance of our services shall not exceed the total fees paid by the client to ICS during the three (3) calendar months immediately preceding the event giving rise to the claim.

This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise, and even if ICS has been advised of the possibility of such damages.


12. Indemnification

You agree to indemnify, defend, and hold harmless ICS and its directors, officers, employees, contractors, and agents from and against any and all claims, damages, losses, penalties, liabilities, and expenses (including reasonable legal and attorney fees) arising out of or related to:

  • Your use of our website or services
  • Your violation of these Terms of Services
  • Your violation of any applicable law or regulation, including HIPAA
  • Any inaccurate or incomplete information provided by you to ICS that results in billing errors, payer audits, or regulatory action
  • Any third-party claims arising from services performed by ICS based on instructions or data provided by you

13. Third-Party Links and Integrations

Our website may contain links to third-party websites, tools, or resources for informational purposes only. ICS does not endorse and is not responsible for the content, accuracy, privacy practices, or security of any third-party websites or services. Accessing any third-party links is entirely at your own risk.

ICS’s services may involve the use of third-party EHR systems, clearinghouses, or payer portals as directed by the client. ICS is not liable for any downtime, errors, or data handling practices of such third-party platforms.


14. Term and Termination

These Terms of Services remain in effect for as long as you use our website or maintain an active service engagement with ICS.

Either party may terminate a service engagement in accordance with the termination provisions set forth in the applicable signed service agreement. Upon termination:

  • All outstanding fees become immediately due and payable
  • ICS will cease processing PHI and, upon written request, return or securely destroy client data as required by applicable law and the BAA
  • Confidentiality obligations and limitation of liability provisions survive termination

15. Governing Law and Dispute Resolution

These Terms of Services shall be governed by and construed in accordance with the laws of India, specifically the laws of the State of Tamil Nadu, without regard to its conflict of law principles.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or ICS services, the parties agree to the following resolution process:

  • Step 1 — Good-Faith Negotiation: The parties shall first attempt to resolve the dispute through direct, good-faith negotiation within thirty (30) days of one party notifying the other in writing of the dispute.
  • Step 2 — Binding Arbitration: If the dispute is not resolved through negotiation, it shall be finally resolved by binding arbitration in Coimbatore, Tamil Nadu, India, in accordance with the Arbitration and Conciliation Act, 1996 (India), as amended. The arbitration shall be conducted in English. The arbitral award shall be final and binding on both parties.

For US-based clients, specific dispute resolution procedures and applicable law provisions may be separately defined in individual service agreements. In such cases, the terms of the service agreement shall govern.


16. Force Majeure

ICS shall not be liable for any failure or delay in the performance of its obligations under these Terms or any service agreement caused by events beyond its reasonable control, including but not limited to:

  • Acts of God, natural disasters, floods, or earthquakes
  • Pandemics, epidemics, or public health emergencies
  • Government actions, sanctions, or regulatory restrictions
  • Internet outages, telecommunications failures, or cyber-attacks
  • Power failures or infrastructure disruptions
  • Labor disputes or industrial action

In the event of a force majeure occurrence, ICS will notify the affected client promptly and make commercially reasonable efforts to resume services as quickly as practicable.


17. Modifications to These Terms

ICS reserves the right to update, revise, or modify these Terms of Services at any time at our sole discretion. When changes are made, we will:

  • Post the revised Terms on this page with an updated “Last Updated” date
  • For material changes affecting active service clients, provide reasonable advance notice via email

Your continued use of our website or services after any changes are posted constitutes your acceptance of the revised Terms of Services. We encourage you to review these Terms periodically to stay informed of any updates.


18. Severability

If any provision of these Terms of Services is found by a court of competent jurisdiction or arbitral tribunal to be unlawful, void, or unenforceable, that provision shall be limited, modified, or eliminated to the minimum extent necessary to make it enforceable, without affecting the validity or enforceability of the remaining provisions, which shall remain in full force and effect.


19. Entire Agreement

These Terms of Services, together with our Privacy Policy and any signed service-specific agreements, constitute the entire agreement between you and ICS with respect to the subject matter herein and supersede all prior or contemporaneous communications, proposals, representations, or agreements, whether oral or written.

No waiver by ICS of any breach or default shall be deemed a waiver of any subsequent breach or default.
